Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Ootsav Tech Solutions("Ootsav", "we", "our", "us"), a partnership registered under UDYAM-RJ-33-0112310, with its registered office at Udaipur, Rajasthan, India.

By accessing or using the Ootsav mobile application, website, platform, or any related services (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

These Terms apply to all users worldwide, including event hosts, guests, co-hosts, collaborators, and visitors. Additional jurisdiction-specific provisions are set out in Section 17.

2. Definitions

• "Event" — Any occasion created on the Platform, including weddings, corporate events, birthdays, reunions, and any other gathering.
• "Host" — A registered user who creates and manages an event on the Platform.
• "Guest" — Any person invited to an event through the Platform, whether or not they have an Ootsav account.
• "Co-host" — A registered user granted shared management access to an event by the Host.
• "Content" — Any text, images, videos, invitation cards, guest lists, or other material uploaded, created, or transmitted through the Platform.
• "Services" — Event management, guest list management, WhatsApp invitations, RSVP tracking, shared galleries, and all other features offered through the Platform.

3. Eligibility

• You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to create an account and use the Platform as a Host.
• Guests who receive invitations may interact with the Platform (e.g., viewing invitations, submitting RSVP responses) without age restrictions, but any personal data submitted by or on behalf of minors is governed by our Privacy Policy.
• By using the Platform, you represent that you have the legal capacity to enter into these Terms.

4. Account Registration and Security

To access certain features, you must create an account using a valid mobile number. You agree to:

• Provide accurate, current, and complete information;
• Keep your login credentials confidential;
• Notify us immediately of any unauthorized access at admin@ootsav.in;
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or remain inactive for more than 24 months (with advance notice).

5. Services and Features

Ootsav provides the following services, subject to these Terms:

• Event creation and management — Create events with sub-events, set dates, venues, and custom details.
• Guest management — Import, organize, tag, and group guests. Assign guests to specific sub-events.
• WhatsApp invitations — Send personalized invitations via WhatsApp through our integrated messaging system.
• RSVP tracking — Collect and track guest responses, meal preferences, accommodation needs, and plus-one details.
• Co-hosting — Share event management access with other registered users.
• Shared galleries — Upload and share event photos and videos.
• RSVP web pages — Personalized web pages for guest RSVPs accessible without app installation.

We may add, modify, or discontinue features at any time. We will provide reasonable notice for changes that materially affect your use of the Platform.

6. Pricing

Ootsav is currently free to use. There are no subscription fees, per-invite charges, guest limits, or hidden costs.

If we introduce paid features or plans in the future, we will provide at least 30 days' advance notice. Existing free features will remain free unless we notify you otherwise. Any paid services will be subject to separate payment terms presented at the time of purchase.

7. User Content and Responsibilities

a) Your Content

You retain ownership of all Content you upload or create on the Platform. By uploading Content, you grant Ootsav a non-exclusive, worldwide, royalty-free licence to host, display, and transmit that Content solely for the purpose of providing the Services to you and your guests.

This licence terminates when you delete the Content or your account, except for copies retained in encrypted backups (up to 90 days) or as required by law.

b) Guest Data Responsibility

As a Host, you are responsible for ensuring that you have appropriate consent or legal basis to share guest personal information (names, phone numbers, email addresses) with Ootsav. You must not upload guest data without their knowledge or against their wishes.

c) Prohibited Content

You must not upload, share, or transmit Content that:

• Is unlawful, threatening, abusive, defamatory, or obscene;
• Infringes intellectual property rights of any third party;
• Contains malware, viruses, or harmful code;
• Impersonates another person or entity;
• Constitutes spam, unsolicited bulk messaging, or commercial advertising unrelated to your event;
• Violates applicable laws including the Information Technology Act, 2000 (India) or equivalent laws in your jurisdiction.

8. Acceptable Use

You agree not to:

• Use the Platform for any purpose other than legitimate event management;
• Send WhatsApp invitations to people who have not been genuinely invited to your event (no spam);
• Attempt to access other users' accounts, events, or data without authorization;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Use automated bots, scrapers, or similar tools to access the Platform;
• Interfere with or disrupt the Platform's infrastructure or security;
• Circumvent any access controls, rate limits, or security measures;
• Use the Platform to collect personal data for purposes unrelated to event management.

Violation of these terms may result in immediate account suspension or termination without notice.

9. WhatsApp Integration

Ootsav uses Meta's WhatsApp Business API to deliver invitations and notifications. By using this feature, you acknowledge that:

• Messages are sent from Ootsav's verified WhatsApp Business number, not your personal number;
• Delivery is subject to WhatsApp's terms, policies, and technical limitations (including rate limits and marketing message caps);
• We cannot guarantee delivery to all recipients — messages may fail due to invalid numbers, recipient privacy settings, or WhatsApp's own policies;
• You are responsible for ensuring that recipients have consented to receive event-related messages from you.

10. Intellectual Property

All intellectual property rights in the Platform — including the Ootsav name, logo, design, code, features, and documentation — are owned by Ootsav Tech Solutions or its licensors.

Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not use the Ootsav name, logo, or branding without our prior written consent.

11. Third-Party Services

The Platform integrates with third-party services including WhatsApp (Meta), Google Cloud Platform, Firebase, and app stores (Google Play, Apple App Store). These services are governed by their own terms and privacy policies. Ootsav is not responsible for the availability, accuracy, or practices of third-party services.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law:

• We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or error-free operation;
• We do not guarantee that WhatsApp messages will be delivered to all recipients;
• We are not responsible for the accuracy of guest data entered by Hosts or the outcomes of events planned using the Platform;
• We are not liable for any damages arising from third-party service outages or changes.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Ootsav Tech Solutions, its partners, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform;
• Loss of data, revenue, profits, or business opportunities;
• Damages resulting from unauthorized access to or alteration of your data;
• Any event-related outcomes (e.g., venue issues, guest no-shows, travel disruptions) — the Platform is a planning tool, not an event guarantee.

In no event shall our total aggregate liability exceed the amount you paid to Ootsav in the 12 months preceding the claim, or INR 5,000 (whichever is greater). As the Platform is currently free, this effectively limits liability to INR 5,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Ootsav Tech Solutions, its partners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms;
• Your Content or use of the Platform;
• Your violation of any rights of a third party, including guest privacy rights;
• Any claim that your use of the WhatsApp integration violated applicable messaging or privacy laws.

15. Termination

• By you: You may delete your account at any time by emailing admin@ootsav.in or using in-app settings. Upon deletion, your event data will be permanently removed (subject to backup retention of up to 90 days and legal record-keeping requirements).
• By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or remain inactive for 24+ months. We will provide reasonable notice except in cases of serious violations.
• Effect of termination: Upon termination, your right to access the Platform ceases. Sections that by their nature should survive (IP, liability, indemnification, governing law) will continue to apply.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Udaipur, Rajasthan, India.

Before filing any formal claim, both parties agree to attempt resolution through good-faith negotiation for at least 30 days by writing to admin@ootsav.in.

This clause does not override mandatory consumer protection rights in your jurisdiction. EU/EEA/UK residents retain the right to bring claims in their country of residence. California residents retain their statutory rights under the CCPA/CPRA.

17. Jurisdiction-Specific Provisions

a) India

These Terms comply with the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection Act, 2023. Ootsav is a registered MSME under UDYAM-RJ-33-0112310.

b) European Union / United Kingdom

If you are an EU/EEA/UK consumer, nothing in these Terms limits your rights under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, or GDPR. You have a 14-day right of withdrawal for any paid services (if introduced in the future). For data protection, see our Privacy Policy.

c) United States

If you are a US resident, these Terms are subject to applicable federal and state consumer protection laws. California residents retain all rights under the CCPA/CPRA. We do not sell personal information.

d) Other Jurisdictions

If any provision of these Terms conflicts with mandatory laws in your jurisdiction, that provision shall be modified to the minimum extent necessary to comply, and the remaining Terms shall continue in full force.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email, in-app notification, or on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

If you disagree with updated Terms, you may delete your account before the effective date.

19. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Ootsav.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign your rights under these Terms. Ootsav may assign its rights in connection with a merger, acquisition, or asset sale.
• Force Majeure: Ootsav is not liable for failures due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or third-party service outages.
